Organizational Constitution

This document sets forth basic articles and by-laws for the organization and function of this group.

Preamble

Mill City Productions is a non-profit, community-based, multigenerational collaborative focused on creating an outlet for expression and education for theatrical veterans and novices alike. Our goal is to create a theatrical troupe to serve the community of Northern Berkshire County, Massachusetts, with theatre that is both entertaining and accessible to those with limited live theatre resources, and educational for both individuals and organizations, such as schools, as to the methods and means of theatre production.

Article 1 – Name

The name of the organization will be “Mill City Productions.” It will be referred herein as MCP.

Article 2 – Mission Statement

The mission of MCP shall be to provide an opportunity for persons of all levels of ability and experience to learn, teach, practice, and perform dramatic art in a supportive and nurturing environment through theatre performances that serve Northern Berkshire County.

Article 3 – Membership

Section A: A member in good standing will be considered an individual who has: 1) Signed the MCP Code of Conduct, and 2) been involved in at least one production during the previous twelve months, or 3) who has attended at least four (4) of the General Meetings in the previous twelve months.

Section B: All members will be required to sign a Code of Conduct to uphold standards of appropriate behavior while representing MCP. These standards are set forth by the Executive Committee.

Section C: Members in good standing have the right to vote at General Meetings. Violation of the Code of Conduct may result in termination from membership in MCP and/or participation in a current MCP production. The Executive Committee will determine the necessary actions to be taken.

Section D: Removal from a production for reasons as determined by a show Director or production team (where no violation of the Code of Conduct has occurred) will NOT automatically result in termination of membership from MCP.

Article 4 – Elected Officers

Section A: The elected officers shall be MCP members in good standing. No more than two (2) members of the same household or immediate family may serve as elected officers at the same time. The Elected Offices shall be:

• Artistic Director

• Associate Artistic Director

• Technical Director

• Treasurer

• Secretary

Section B: The duties of the officers shall be:

Artistic Director

- Will oversee creative and operational direction of the company.

- Will serve as the initial contact between interested directors and actors.

- Will attend general and production meetings.

- Will run all general meetings.

- Will establish production budgets with treasurer and production team.

- Will have signing rights for checks and have access to MCP financial accounts.

- Will act as a liaison between MCP and Northern Berkshire communities.

- Will serve as a recruiter for new members or personnel.

- Will actively work to carry out MCP's Mission Statement.

Associate Artistic Director

- Will assist the Artistic Director in the creative and operational direction of the company.

- Will carry out the duties of the Artistic Director when the Artistic Director is unavailable or unable.

- Will act as a liaison between MCP and Northern Berkshire communities.

- Will serve as a recruiter for new members or personnel.

- Will actively work to carry out MCP's Mission Statement.

Technical Director

- Will advise the technical aspects of set, lights, and sound.

- Will be available for technical rehearsal upon individual request.

- Will attend production meetings.

- Will maintain MCP property.

- Will serve as an advisor to Producers and Directors.

- Will, in consultation with the Director, produce a workable set design upon request.

- Will assist in building or maintaining set pieces or flats as required.

- Will teach technical skills to interested members.

- Will serve as a recruiter for new members or personnel.

- Will actively work to carry out MCP's Mission Statement.

Treasurer

- Will oversee all monetary aspects of MCP.

- Will be in possession of the checkbook / ATM card and maintain the financial bookkeeping for MCP.

- Will assist with fundraising.

- Will present a financial report at General Meetings or upon request.

- Will produce an annual financial report for the membership.

- Will be responsible for MCP's cash box during productions.

- Will ensure all accounts are paid promptly and make disbursements as authorized by the Artistic Director.

- Will have signing rights for checks and access to MCP financial accounts.

- Will work with Artistic Director and production team to establish production budgets.

- Will serve as a recruiter for new members or personnel.

- Will actively work to carry out MCP's Mission Statement.

Secretary

- Will set the agenda for general meetings.

- Will record all minutes of MCP general meetings.

- Will read the minutes from the previous meeting at general meetings upon request.

- Will serve as a recruiter for new members or personnel.

- Will actively work to carry out MCP's Mission Statement.

Section C: Election of Officers

- Members in good standing will vote for elected officers during the general membership meeting in November of even-numbered years. Officers are elected by simple majority of active, present members.

- Nominations for elected positions must take place at the general meeting in the October before the elections.

- Terms of office shall be for two years. Officers may be elected for successive terms.

- Newly elected officers will assume the position as soon as practicable.

- In the event of a tie, the active Executive Committee members will engage in a second round of voting.

- When a vacancy occurs in an office, it will be filled to complete the current term by a majority vote of the Executive Committee.

- Any elected officer may be removed at any regular or special meeting of the membership by an affirmative vote of two-thirds of the members in good standing present whenever, in their judgment, the best interest of MCP would be served thereby. The officer being considered for removal shall be notified of the meeting at which the removal action may be taken, and the specific charges against or concerns related to him or her, at least five (5) days prior to the meeting.

Article 5 - Meetings

- General meetings will occur monthly for the purpose of conducting official business.

- Special meetings may be called by any elected officer giving at least 48 hours notice thereof to the executive committee.

- A properly warned meeting shall include the issuing of a notice by an officer at least five (5) days prior to the meeting date.

Article 6 - Dissolution

- Upon any dissolution of MCP, any assets remaining after payment of or provision for its debts and liabilities, shall, consistent with the purpose of MCP, be paid to charitable artistic corporations qualifying as exempt organizations under the provisions of Section 501(c)3 of the US Internal Revenue Code or corresponding provisions of subsequently enacted Federal Law. No part of the net assets or net earnings of MCP shall inure to the benefit of or be paid or distributed to an officer, member, or donor of MCP.

Article 7 - Amendments

This document may be amended by a two-thirds (2/3) vote of the members in good standing present at the next monthly general meeting providing there has been 30 days written notice of the proposed amendment.
